Corporate Insured Retirement Planning Services

Build wealth tax-efficiently within your corporate entity with a well-planned corporate insured retirement strategy

As a Canadian business owner or incorporated professional, you might be looking for tax-efficient ways of growing unutilized corporate funds without corporately investing in passive investments such as real estate and mutual funds.

SmartWealth Financial Incorporated specializes in insured retirement planning tailored for owners of privately held Canadian corporations and professional practices. Our expert team understands your unique challenges and opportunities, and we’re here to help you build a secure, prosperous retirement through a well-planned, corporate insured retirement strategy.

What is a Corporate-Insured Retirement Plan?

A corporate insured retirement plan, also known as a corporate IRP, is a sophisticated financial strategy designed to provide you with tax-efficient retirement income while offering the protection of corporate-owned life insurance. This innovative approach leverages your corporation’s assets to combine the benefits of permanent life insurance with strategic borrowing, creating a powerful retirement planning solution.

Key Benefits of Corporate Insured Retirement Plan in Canada

Grow your wealth tax-deferred within a corporate-owned permanent life insurance policy. Redirecting unutilized corporate funds into a participating whole life insurance policy helps you grow wealth tax-preferred through compounded policy dividend earnings and guaranteed cash values, thereby saving current and future taxes for your corporation and wealth accumulation.

Access potentially tax-free retirement income through third-party lending using a corporate-owned insurance policy. Ensuring an extended income stream during retirement, outperforming traditional investments.

Provide a tax-free death benefit to your beneficiaries through your corporation. Immediate access to tax-free life insurance proceeds bolsters your net estate value through the capital dividend account.

Safeguard stakeholders’ financial interests as your company grows, with the death benefit increasing over time.

Utilize “cheaper” after-tax corporate dollars to fund the plan, potentially reducing overall corporate and individual tax liability.

A cash value life insurance policy is an asset class that not only protects your stakeholders and builds tax-preferred wealth; it also helps bolster your company’s balance sheet as a solid corporate asset today and in the future.

Tax-efficiently transfer corporate assets to your heirs through the policy’s tax-free death benefit payout. Your loved ones will receive corporate assets tax-free up to the amount of the capital dividend account (CDA) at death.

Comparing Corporate Insured Retirement Plans to Other Corporate Retirement Strategies

To help you make an informed decision, let’s compare corporate insured retirement plans to other corporate executive retirement planning options:

Individual Pension Plans (IPPs)

  • Corporate IRPs: Flexible contributions (within policy limits), tax-deferred wealth growth, access to funds through policy and third-party loans, and lower administration costs.
  • IPPs: Higher tax-deductible contribution limits, especially beneficial for older business owners; a more rigid structure with mandatory withdrawals; higher administration costs; potential creditor protection under pension legislation.

Corporate Investment Accounts:

  • Corporate IRPs: Tax-deferred growth within the policy, the potential for tax-advantaged access to funds through third-party loans against the policy (but not withdrawals), and complex tax considerations.
  • Corporate Investments: Taxable growth and distributions at the highest corporate tax rates, with different treatment for various types of investment income. Additional personal taxes may apply upon distribution to shareholders.

Retirement Compensation Arrangements (RCAs):

  • RCAs: Tax-deductible contributions, 50% refundable tax on contributions and investment income, fully taxable distributions, complex administration.
  • Corporate IRPs: Tax-deferred growth within the policy, potential for tax-advantaged access through policy loans (not withdrawals), contributions limited by policy’s tax-exempt status, less complex administration than RCAs.

How a Corporate Insured Retirement Plan Works

A Corporate Insured Retirement Plan is a strategic financial approach for owners/shareholders of private Canadian corporations. It helps them grow, protect, and amplify their wealth by redirecting surplus funds toward a corporate-owned life insurance policy designed for wealth growth.

By channeling surplus funds into a corporate-owned life insurance policy, typically a permanent one like participating whole life or universal life insurance, the plan combines insurance coverage with a tax-sheltered portfolio or dividend-paying savings account.

Contributions cover insurance costs: Excess funds are invested in market portfolios or saved in a dividend earning account for tax-efficient cash value growth.

Automatic reinvestment of earnings: Compounds cash values and death benefits.

Ingeniously intertwines insurance and asset growth:

Ensures financial security and long-term wealth accumulation for the corporation and stakeholders.

Understanding the Mechanics of Corporate Insured Retirement Plans

To fully appreciate the potential value of a corporate-insured retirement plan, it’s essential to understand how it works:

Corporate Policy Funding:

Your corporation purchases permanent life insurance, typically participating whole life insurance. These policies combine lifelong coverage with a cash value component and potential dividend earnings.

Corporate Cash Value Growth:

The policy’s cash value grows tax-deferred within the corporation. The Income Tax Act allows for tax-sheltered growth within certain limits, potentially building a significant asset base over time.

Retirement Income from Corporate Assets:

When ready to access retirement income, you can leverage the policy’s cash value through corporate policy loans or third-party lending.

Tax-Efficient Retirement Income:

Under current tax laws, funds borrowed against a life insurance policy are generally not considered taxable income. This is based on the Canada Revenue Agency’s interpretation that loan proceeds do not constitute income.

Corporate borrowing may provide a tax-efficient way to access funds, which could be distributed to shareholders through various means, subject to applicable personal tax rates.

Personal borrowing requires a guarantee fee and a contract between the corporation and the shareholder to avoid shareholder benefit issues. The loan proceeds are not taxable to the individual, but proper documentation is crucial.

Both approaches offer flexibility in retirement planning strategies, but the tax implications of distributions or repayments differ. The Canadian Institute of Chartered Accountants recommends professional advice for determining the most suitable option based on individual circumstances.

Corporate Loan Repayment:

Upon death, the outstanding loan is typically repaid from the death benefit of the corporate-owned policy. The Insurance Act governs the payment of death benefits, ensuring the process is legally sound.

This strategy leverages Canadian tax laws and financial regulations to potentially create a tax-efficient retirement income stream, but requires careful planning and execution to comply with all relevant legislation and avoid potential pitfalls.

How Corporate-Insured Retirement Plan Maximizes Asset Growth

The Corporate-Insured Retirement Plan strategically maximizes asset growth through tax-deferred advantages and uninterrupted wealth accumulation:

Tax-Deferred Growth

Passive income investments such as mutual funds and real estate are taxed on the highest tax bracket and may affect your corporation’s small business deductions. Asset growth in a corporate-owned life insurance policy is tax-deferred and remains tax-free until drawn.

Predictable Wealth Growth

With participating whole life insurance, policy dividends offer a more stable wealth growth than fluctuating market returns.

Leveraging for Uninterrupted Growth

Utilizing third-party borrowing provides liquidity and ensures continuous wealth growth, as policy cash values earn dividends and compound even during borrowing.

Provides Corporate Liquidity

A well-designed corporate insured retirement plan provides corporate liquidity in case of financial emergencies, at retirement, and at death.

The Corporate-Insured Retirement Plan stands out for its tax-efficient and growth-maximizing approach, securing a robust financial future.

Frequently Asked Questions on Corporate Insured Retirement Plans

Corporate IRPs can be suitable for Canadian business owners with excess corporate cash flow. However, it’s important to note that suitability depends on various factors, including the business’s financial situation, the owner’s retirement goals, and the overall tax strategy.

A corporately-owned permanent life insurance can be tax-efficient for corporate wealth accumulation and distribution. Its key purposes and benefits include tax-deferred growth of the policy’s cash value and a tax-free death benefit received by the corporation. Depending on how it’s structured, this strategy may also offer potential tax-efficient access to funds through third-party loans. It allows for the potential growth of corporate assets outside of active business income and provides flexibility in retirement planning as an alternative or supplement to traditional retirement savings vehicles.

There are no statutory limits like those for RRSPs. However, contributions are limited by the policy’s ability to maintain its tax-exempt status under the Income Tax Act.

Passive income can significantly affect small business deduction limits for Canadian-controlled private corporations (CCPCs).

Under current Canadian tax laws, CCPCs with more than $50,000 of passive investment income in the previous year will see a reduction in their small business deduction (SBD) limit. Specifically, for each dollar of passive income over $50,000, the SBD limit is reduced by $5. This means that once passive income reaches $150,000, the entire SBD is eliminated.

The small business deduction allows eligible corporations to pay a lower rate of tax on the first $500,000 of active business income (as of 2024). This reduction in the business limit is calculated based on the greater reduction under these passive income rules and the taxable capital rules.

Passive income, in this context, includes interest, taxable capital gains, and certain rental income, among others. It’s important to note that dividends from non-connected corporations are also included in this calculation.

While policy contributions are generally not tax-deductible for the corporation, the growth within the policy is tax-deferred. The death benefit is typically received tax-free by the corporation. Policy funds can also be accessed tax-preferred by leveraging the policy at retirement.

Your corporation can generally access the cash value through policy loans, collateral bank loans, or withdrawals. Withdrawals and policy loans may reduce the death benefit and could have tax implications. The tax treatment depends on various factors, including the policy’s adjusted cost basis.

Unlike RRSPs or IPPs, corporate IRPs have no statutory contribution limits. They typically have higher upfront costs and less liquidity in the early years than these other options. However, implementing a corporate IRP allows you to grow wealth tax-deferred, much like you would in registered funds, taking advantage of the lower corporate tax rate, which allows you to contribute cheaper after-tax dollars than when you contribute on an individual level. Ultimately, you will have higher wealth built up, which you can access tax-efficiently, and a higher net estate value at death.

An asset class enabling tax-efficient growth of surplus corporate funds, exempt from passive income classification.

The policy can be transferred to the new owners, surrendered for its cash value, or potentially retained by you. Each option has different tax implications. If there’s a possibility of business sale in the future, it’s better to implement an insurance asset class in a holding company, instead of an operating company.

To implement a corporate-insured retirement plan and build your retirement nest egg, follow these steps:

  • Consult with a life insurance advisor.
  • For tax advice, a tax accountant’s involvement may be necessary.
  • Decide how much you want to save or how much wealth you want to build inside the policy.
  • Apply for the life insurance policy with the corporation as the owner and named beneficiary.
  • Deposit funds into the life insurance policy annually (or monthly).
  • Let your wealth grow over time.
  • Connect your accountant with your insurance advisor (hopefully us) for annual cash value tracking.
  • At retirement, apply for a bank line of credit, pledging the policy corporately or personally (your accountant can advise you which option is best.
  • Access tax-free funds through bank loans to fund or supplement your retirement. Your accountant should help facilitate this and determine the best way to access the funds to minimize the tax implications.
  • Either service the bank loan interest or have the bank capitalize it.
  • At death, your holding company will receive the life insurance proceeds tax-free. The bank will then have a lien to the extent of your indebtedness.
  • The net death benefit is paid tax-free to surviving shareholders or your estate through the capital dividend account. Any funds over the capital dividend account are typically taxed as shareholder dividends.
